Terms of Service

1. Acceptance of Terms
By accessing or using Sonematic ("we," "us," or "our") and its website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Sonematic is an AI-powered platform that generates custom instrumental background music for speeches and presentations. The Service includes:
- Script editing: A rich text editor for writing and organizing speech scripts with section breaks.
- AI tone analysis: Automated analysis of your script's tone, emotion, and pacing to inform music generation.
- Music generation: AI-powered creation of instrumental audio tracks tailored to your script's content and mood.
- Teleprompter playback: A synchronized teleprompter that plays your generated background music during speech delivery.
- Audio export: Download and export of generated audio files for use in your projects.
3. Account Registration
You must create an account to use the Service. Account authentication is managed through our third-party authentication provider. When creating your account, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your login credentials secure and confidential.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately at hello@sonematic.com if you suspect unauthorized access.
Each account is for a single individual. Sharing account credentials with others is prohibited.
4. Subscription Plans and Payment
The Service offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:
- Billing: Payments are processed through Stripe. Paid plans are billed on a recurring basis (monthly or annually, depending on your selection).
- Recurring charges: By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel.
- Price changes: We may change subscription prices with at least 30 days' prior notice. Price changes take effect at the start of your next billing cycle after the notice period.
- Failed payments: If a payment fails, we may suspend access to paid features until the payment issue is resolved.
- Cancellation: You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period.
- Refunds: Payments are non-refundable. No prorated refunds are issued for partial billing periods.
5. User Content and Ownership
You retain full ownership of all scripts, text, and other content you submit to the Service ("User Content"). By using the Service, you grant Sonematic a limited, non-exclusive, worldwide license to process, store, and transmit your User Content solely for the purpose of operating and providing the Service to you.
This license is limited to what is necessary to deliver the Service — including AI analysis and music generation — and terminates when you delete your content or your account. We do not use your User Content to train AI models.
You are solely responsible for the User Content you submit. You represent that you have the necessary rights to submit your content and that it does not violate any third party's rights.
6. Generated Content and License
Audio files and music produced by the Service based on your scripts ("Generated Content") are created using AI generation technology. Regarding Generated Content:
- Technology ownership: Sonematic and its AI providers retain all rights in the underlying generation technology, models, and algorithms used to create Generated Content.
- Usage license: You receive a non-exclusive, worldwide license to use Generated Content for personal and commercial purposes in connection with your speeches, presentations, and related projects.
- Restrictions: You may not resell Generated Content as standalone music tracks, include Generated Content in music libraries or stock audio collections, or sublicense Generated Content to third parties as a standalone product.
- No uniqueness guarantee: Due to the nature of AI generation, similar inputs may produce similar outputs. We do not guarantee that Generated Content will be unique to you.
7. AI Processing Disclosure
The Service relies on third-party artificial intelligence systems to analyze your scripts and generate music:
- Tone analysis: Your scripts are processed by Anthropic and/or OpenAI to analyze tone, emotion, and pacing.
- Music generation: Audio is generated using ElevenLabs and/or fal.ai based on the results of tone analysis.
- Output variability: AI-generated outputs are inherently variable. We cannot guarantee specific results, and identical inputs may produce different outputs at different times.
- No model training: Your scripts and content are not used to train any AI models. They are processed only to deliver the Service to you.

8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Submit content that infringes on the intellectual property rights of others.
- Generate or distribute content that is harmful, threatening, abusive, harassing, defamatory, or hateful.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated tools, bots, or scrapers to access or extract data from the Service.
- Circumvent usage limits, rate limits, or other technical restrictions.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to develop a competing product or service.
9. Intellectual Property
Sonematic owns all rights, title, and interest in the Service, including its software, design, branding, logos, documentation, and underlying technology. Nothing in these Terms grants you any right to use Sonematic's trademarks or branding.
Your User Content belongs to you, subject to the limited license granted in Section 5. Generated Content is licensed to you as described in Section 6.
No rights are granted to you by implication, estoppel, or otherwise, except as expressly set forth in these Terms.
10. Third-Party Services
The Service relies on third-party providers to operate, including:
- Clerk for authentication and account management.
- Stripe for payment processing.
- Anthropic and OpenAI for AI-powered script analysis.
- ElevenLabs and fal.ai for AI-powered music generation.
- Amazon Web Services (AWS) for cloud infrastructure.
Your use of the Service is also subject to the terms and policies of these third-party providers. Sonematic is not responsible for the availability, accuracy, or conduct of any third-party service, and shall not be liable for any loss or damage arising from third-party service failures or changes.
11. Availability and Modifications
We do not guarantee that the Service will be available at all times or without interruption. We may experience downtime for maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice before making material changes that significantly affect your use of the Service.
12. Termination
Either party may terminate your use of the Service:
- By you: You may delete your account at any time. Upon deletion, your data will be handled in accordance with our Privacy Policy data retention schedule.
- By Sonematic: We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if required by law. We will provide notice where reasonably practicable.
Upon termination, your right to access the Service ceases immediately. Any active paid subscription will not be refunded for the remaining billing period. Data retention and deletion following termination are governed by our Privacy Policy.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SONEMATIC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing:
- We do not warrant that the Service will be uninterrupted, secure, or error-free.
- AI-generated outputs may contain errors, inconsistencies, or unexpected results. You are responsible for reviewing and evaluating all Generated Content before use.
- The Service is not a substitute for professional music licensing, legal, or creative advice.
- We make no representations about the suitability of Generated Content for any particular purpose or audience.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONEMATIC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SONEMATIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL SONEMATIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER SONEMATIC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Sonematic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your User Content or your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of a third party.
- Your misuse of Generated Content in a manner not authorized by these Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Before filing any formal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at hello@sonematic.com. We will attempt to resolve the dispute within 30 days of receiving your notice.
If the dispute is not resolved informally, it shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. Either party may seek relief in a court of competent jurisdiction for claims within the scope of small claims court.
17. Changes to Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect.
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
18. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
The failure of Sonematic to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Sonematic to be effective.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sonematic regarding the Service. They supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
